Simplification de la structure de détention d'IHS

MTN Group (« MTN ») a annoncé ce jour son intention d'échanger sa participation de 51% dans Nigeria Tower InterCo B.V, la holding opérationnelle de INT Towers Limited gérant plus de 9 000 tours au Nigéria, contre une participation directe additionnelle dans IHS Holding Limited (« IHS ») Group. Le résultat de cette opération fait passer l'intérêt économique de MTN d'environ 15% à environ 29% dans IHS. Afin de préserver l'indépendance d'IHS, les droits de vote, la représentation et l'accès aux informations de MTN dans IHS resteront limités. À la suite de cette simplification de la structure actionnariale, Wendel détiendra en direct 21,4% du capital d'IHS et, avec ses co-investisseurs, 28,8% de droits de vote. Wendel reste le premier actionnaire d'IHS en droits de vote et ses droits de gouvernance sont inchangés. En ce qui concerne la valorisation d'IHS dans l'Actif Net Réévalué de Wendel, la dilution en capital induite par cette opération est compensée par la disparition des 51% d'intérêts minoritaires dans INT, désormais détenue à 100% par IHS.

Simplification of IHS's capital structure

MTN Group ("MTN") has announced today its intention to exchange its 51% stake in Nigeria Tower InterCo B.V, the operating holding company of INT Towers Limited, which manages more than 9,000 towers in Nigeria, for an additional direct stake in his Holding Limited ("IHS") Group. As a result of this transaction, MTN's economic interest in IHS Group will increase from around 15% to around 29%. To preserve IHS's independence, MTN's voting rights, representation and access to information on IHS will remain limited. The transaction will be finalized during the first quarter of 2017. Following this simplification of IHS's capital structure, Wendel will hold 21.4% of the shares of IHS directly and, with its co-investors 28.8% of the voting rights. Wendel remains IHS's largest shareholder in voting rights and its governance rights are unchanged. With regard to the valuation of IHS in Wendel's net asset value, the transaction dilutes Wendel in IHS's share capital but also removes 51% of minority interests in INT, henceforth 100% held by IHS, which offsets the capital dilution.
